This End User Licence Agreement (“EULA”) is a legally binding contract between Dogray Limited, company number 16327398, registered in England and Wales (trading as Dogray Type Foundry) (“Dogray”) and the End User Organisation named on the Order Invoice (the “Licensee”). By downloading, installing or using the Fonts, you confirm that you have authority to enter into this EULA on behalf of the Licensee. This EULA describes what the Licensee may and may not do with the licensed font software, including outputs of the same (the “Fonts”). The Fonts are protected by copyright and other intellectual property rights owned by Dogray. No right, title or interest in the Fonts is transferred except the rights expressly granted in this EULA.
In this EULA, the following defined terms are used:
- “Basic Licence” means desktop and web use as set out below.
- “Business Day” means Monday to Friday, excluding UK public holidays.
- “Extended Licence” means the add-on rights for apps, ebooks, broadcast/film/video, games and logos/wordmarks.
- “Order Invoice” means the order confirmation, invoice or checkout summary issued by Dogray for the relevant purchase, identifying the End User Organisation, the licence type(s) (Basic/Extended), the Organisation Size at the date of purchase, any licensed domains/apps, and the fees.
- “Organisation Size” means the total number of the Licensee’s employees, subcontractors and temporary staff at the date of purchase.
Who licenses the Fonts
If any person or entity other than the Licensee completes payment, they do so as the Licensee’s agent and obtain no rights in the Fonts. The purchaser warrants it is authorised to bind the Licensee and that the End User Organisation is identified on the Order Invoice. If no End User Organisation is identified, the purchaser is deemed the Licensee. The Licensee must ensure that its owners, employees, contractors and other representatives who use the Fonts comply with this EULA (and you undertake to ensure the Licensee is aware of the same where you are purchasing as agent on behalf of the Licensee). The Fonts must not be shared with any unlicensed third party, and must not be stored in any publicly accessible location (including public file servers, unauthenticated cloud buckets or public source repositories).
How the license fee is calculated
The licence fee is determined by the Organisation Size at the date of purchase as set out in an Order Invoice. Organisation Size is used only to set price at purchase; no further fees are payable if the Licensee later expands. Subject to the permitted use-cases and prohibitions in this EULA, the Fonts may be installed and used by the Licensee’s workforce as needed on devices dedicated to work for the Licensee. Use by any third party requires that third party to obtain its own licence.
No more than once in any 12‑month period, upon providing at least 14 days’ written notice, Dogray may request a written confirmation of the Organisation Size at the purchase date and of the licensed domains/apps in use, together with reasonable supporting evidence. If fees were under‑paid due to an incorrect Organisation Size at purchase, the Licensee will pay the difference.
Discounts for mission‑driven non‑profits (promoting social equality, anti‑racism, environmental justice or human rights) and registered public‑benefit institutions (libraries, museums, archives) may be offered at Dogray’s sole discretion. Eligibility evidence may be required. Discounts may be withdrawn prospectively.
Rights & Restrictions
By buying, downloading, installing, and continuing the use of the Fonts, the Licensee acknowledges and consents to the terms and conditions outlined in this EULA. Upon receipt of all relevant license fees, Dogray will give the Licensee the non-exclusive and non-transferable rights to use the Fonts, as outlined in this EULA and in accordance with the Order Invoice parameters. You acknowledge that Dogray reserves all the rights not explicitly granted to You in this license. If any of the terms of this contract are breached, Dogray reserves the rights to claim the applicable damages and compensation at any given time.
The Licensee must not: (a) use the Fonts in any explicitly political or religious context, without prior written consent from Dogray Limited; (b) train, fine‑tune, evaluate or otherwise use the Fonts, their glyphs, outlines, metrics or renderings to develop any AI/ML or generative system, build datasets, extract styles/features/vectors, or enable such use by others; (c) share, distribute, sell, sub‑license or make the Font files available to any unlicensed third party; (d) reverse engineer, decompile or attempt to access source data of the Fonts; (e) create any derivative font, substitute or look‑alike intended to mimic the Fonts; (f) store or serve the Fonts from any publicly accessible location (including public Git repositories, unauthenticated cloud storage or public CDNs); or (g) use the Fonts for any purpose not expressly permitted by this EULA (all, the “Prohibited Uses”). Dogray may deny or revoke a licence where an organisation or individual engages in or promotes hatred, violence, discrimination, or activities contrary to equality and human dignity.
The only modifications we permit to our fonts are: (i) subsetting of the character set as a way of reducing file size by removing glyphs; (ii) subsetting of the variable fonts by reducing the scope of the axes. The Licensee cannot add additional glyphs to the Fonts or modify the outlines and design of the glyphs within the Fonts. The Licensee cannot modify the name of the Fonts, or file format, without explicit and written permission from Dogray. The copyright and trademark notices from Dogray must remain intact. Modified Font files can be shared with other licensed users in the Licensee’s organisation and will be subject to the same licence terms herein. The same license terms apply to the modified fonts. No technical support is available for modified fonts.
Basic License
The Basic Licence grants the Licensee the right to use Desktop and Web Fonts under the terms below. Other contexts (including apps, ebooks, broadcast/film/video, games and logos/wordmarks) require an Extended Licence. The licence is limited to the uses and specifications identified in the Order Invoice and this EULA.
Desktop Fonts → The Fonts may be installed on devices used by the Licensee’s workforce, solely for work on behalf of the Licensee. Embedding in electronic documents is permitted where the document is for the Licensee’s personal or internal business use, or where distributed externally in a read‑only, non‑editable format (e.g., PDF with editing/extraction disabled) and not for Ebook/E‑reader distribution or sale. Use in Ebooks requires an Extended Licence.
Web Fonts → The fonts may be served to domains owned or controlled by the Licensee using @font-face in WOFF2 format. Self‑hosting or Licensee‑controlled CDN only. Do not enable download, export or extraction by visitors or third parties (use of the Fonts in .ttf or .otf format on the web is not permitted). The Fonts may not be embedded on websites or tools that generate dynamic artwork, or documents, where the Fonts can be exported for use outside the context of the website.
Extended License
The Extended Licence grants all rights under the Basic Licence plus use in software applications (i.e. distribution of the Font files with software applications licensed by the Licensee), Ebooks, broadcast/film/video, video games, and logos/wordmarks as described below.
App fonts → The Fonts may be embedded in mobile or desktop applications with no limit on users or installations, provided the Fonts are embedded as read‑only resources and are not exposed for use outside the app. This licence does not extend to third parties. If developing for a third party, either you or the third party must purchase a licence covering that use.
Ebooks → read-only copies of Fonts may be used for embedding in Ebooks or other digital documents. Read-only means that those who use or receive these digital files can neither install the Fonts nor use them to make new documents.
Broadcast, film, and video → Fonts may be used for films, TV shows, commercials, and digital videos with no limits to impressions or audience.
Logos and wordmarks → The Licensee is permitted to use the Fonts to create logos or brand identities for its own use (i.e. to promote business undertaken by the Licensee).
Trial & Student License
This license grants the Licensee a non-exclusive license to use Desktop Fonts on a free trial basis, as specified in this Agreement. A ‘Trial Basis’ means use of the Fonts for: (i) testing, evaluation, and comparison purposes; (ii) non-commercial student projects; or (iii) private pitches and proposals for clients. the Fonts acquired under this license may not be used in any public context unless permitted through prior written permission and with full acknowledgement of the typeface and Dogray as the creator.
Trial & Student Fonts are only supplied in the .ttf format and may not be converted to any other Font formats. If the Licensee decides to continue using the Fonts beyond the initial evaluation usage, or to use them for other reasons, the Licensee must purchase the appropriate license to do so. Businesses and organisations are not permitted to use Fonts provided under this license for any public facing or commercial work.
Attribution & Crediting
The Licensee is encouraged to make every reasonable effort to provide credit to Dogray in any work that uses the Font where such work contains a publicly visible credits section, acknowledgements, or colophon. This includes, but is not limited to, websites, films, television productions, books, magazines, published documents, video games, and public-facing design projects. Where such a credit is provided, it must be written in a clear and legible manner and must use the following, or a substantially similar, formulation:
‘Typeface: [Insert Full Font Name] by Dogray Type Foundry (www.dogray.xyz)’.
When a Licensee that is a graphic design studio, agency, or other creative entity, publishes a project showcasing any of our Fonts in social media, said Licensee should make every effort to credit the Font’s name and tag Dogray Type Foundry with the appropriate handle (e.g., @dograytype [https://instagram.com/dograytype/] on Instagram). Any credit or tag provided pursuant to this clause shall not imply that Dogray is a sponsor, affiliate, or partner of the Licensee or its project, unless expressly agreed in a separate written agreement.
Dogray may refer to the Licensee’s use of the Font in its marketing materials, including its social channels, decks, and website.
Liabilities & Warranty
Nothing in this EULA excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded. Subject to the foregoing, each party’s total aggregate liability arising out of or in connection with this EULA, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the fees paid for the Fonts giving rise to the claim, and neither party shall be liable for any indirect, special, incidental or consequential losses (including loss of profit). Notwithstanding, nothing shall limit or exclude the Licensee’s liability in respect of any use of the Font outside of the permitted rights granted as set out in an Order Invoice.
If the Licensee uses or authorises use of Fonts outside of the permissions set out in the Order Invoice, the Licensee will pay to Dogray on demand such amounts equal to that which would have been charged to a bona fide Licensee, plus its legal and administrative costs. All implied warranties and conditions under statute are, to the extent permissible by law, hereby excluded, except for those which cannot be excluded under the Consumer Rights Act 2015 where the Licensee is a consumer.
If the purchaser experiences any difficulties with the Fonts and provides notice of said difficulties within 30 days of the purchase date set out in the Order Invoice, reasonable steps will be taken to resolve reported technical issues. If it is determined that the problem is a result of a technical failure of the Font software and it is not possible to correct the problem within 10 Business Days after being notified of the problem, the purchaser will be refunded for the amount specified in the Order Invoice and this EULA will automatically terminate. If the license buyer or any Licensee has unusual or excessive technical-support needs, Dogray reserves the right to terminate the license without further liability by refunding the license fee. This remedy is the Licensee’s sole remedy available. Consumer statutory rights are not affected.
If the Licensee is a consumer, rights under the Consumer Rights Act 2015 may apply. If the Licensee requests immediate access to digital content, being the Font, the Licensee acknowledges that any 14-day cancellation right under the Consumer Contracts Regulations 2013 may be lost once download begins. Nothing in this EULA limits rights that cannot be excluded. Prior to downloading the Fonts, if the Licensee is a consumer, and wishes to cancel, please email us at info@dograytype.com.
Dogray may terminate this EULA on written notice for a material breach not cured within 10 Business Days after notice. For wilful infringement, breaches that are incurable, or violations of Prohibited Uses, Dogray may, at its election, terminate immediately on notice. On termination, the Licensee must immediately delete all copies of the Fonts (including optimised copies), and cease use of all materials created using the Fonts.
A failure or delay by Dogray to exercise any right or remedy under this EULA does not operate as a waiver of that or any other right or remedy. A waiver is effective only if in writing and signed by an authorised representative of Dogray, and shall not be deemed a waiver of any subsequent breach or default.
The license granted is non transferable, and the Licensee is not permitted to transfer, assign, or otherwise deal with the rights granted without the prior written agreement of Dogray.
If any term or part of a term of this agreement is invalid, illegal, or unenforceable, the rest of the agreement will remain in effect. This agreement will be governed by and construed exclusively in accordance with the laws of England and Wales, without regard to conflict of laws principles. Any claim arising out of or in connection with this agreement, including tort claims, must be resolved in the courts of England and Wales (and each party submits to the exclusive jurisdiction of the same).
